Section 1 - General
Article 1 - Dues; Associate Member status and Reinstatement.

A. Membership dues, the amount to be determined by a majority vote of the Voting Members, must be paid on or before the first half of each electoral term of officers. Any Voting Member, who fails to pay dues by stated time, without prior notice to an officer of the club, shall be relegated to Associate Member status. Any Voting Member relegated to Associate Member status may be reinstated through the following procedure.

1. Associate Member requests reinstatement.

2. A brief discussion on the merits of the past Voting Member will be held with the Membership.

3. The "Executive Board" will make the final decision on reinstatement.
B. Any reinstated Voting Member is responsible for all back dues.

Article 2 - Membership
A. The Board may recommend to the Membership for its approval, quota limits on the maximum number of Voting Members.

B. Voting Members must be at least 18 years of age at time of their proposal. There will be no age minimum for Associate Members.

C. A Voting Member must be active and in good standing for three (3) months to qualify as a sponsor for a prospective Voting Member.

D. The sequence for proposal and induction of a prospective Voting Member is presented to the Membership for consideration.

1 First Meeting: The name and a background of the proposed Voting Member is presented to the Membership for consideration by the sponsoring Voting Member. The sponsored Voting Member then introduces himself to the Membership and will be subject to any questioning that a Voting Member deems appropriate.

2 Second Meeting: The proposed Voting Member does not attend and is voted upon by the Membership.
E. Upon acceptance to Membership, a prorated portion of dues will be imposed for current term.

F. Associate Members: Any person at a Voting Member's request may join as an Associate Member. Associate Members are not Voting Members and do not have the right to vote, benefit from club's treasury, nor will they pay dues. Any Voting Member may dismiss an Associate Member at any time.

G. An individual may not become a Voting Member until he or she has been an Associate Member for at least thirty (30) days, unless that individual was previously a Voting Member or was affiliated with the club prior to the creation of the By-Laws. *

Article 3 - Quorum.
A quorum is not necessary to hold an official meeting, but any item that comes up before the Membership for a vote must have at least 50% plus 1 of the Membership in attendance. Motions must be carried by a majority of Voting Members in attendance.

Article 4 - Committees.
The President will announce the formation of all committees. All current GT Members may be on a committee. Appointment to a committee is primarily through a voluntary basis and the number of Voting Members on a committee will be determined by the event in question. In the event volunteers cannot be obtained voluntarily, a lottery system will be enforced. The chairman of a committee must be a current GT Voting member. The Vice President will select the committee chairman and oversee all committees.

Article 5 - Proposals and Motions.
A Voting Member may make a proposal or motion regarding any item he feels may be of interest to the club and direct them to the Board. The Board reserves the right, as the duly elected officials of the club, to table any and/or all proposals or motions it regards not to be in the best interest of the organization. This can be done in the forum Wednesday Midnight EST is deadline for this weeks meeting.

SECTION II - OFFICES, ELECTIONS, TERMS & EXPULSION
Article 1 - Election of officers.
Election of officers will be held by secret ballot semi-annually at the first meetings of December and June of each year. The Membership will vote for one Voting Member for each of the following positions: President, Vice President, Treasurer, Secretary, and Sergeant-at-Arms. Nominees for office must be active Voting Members in good standing for at least 6 months to be eligible for office. These officers will be known as the "Executive Board" or the "Board".

Article 2 - Terms of office.
The term of office for elected officers of the Board will run for 6 months, commencing with the first meeting on or after January 1st and July 1st of each year.

Article 3 - Special Election.
A special election may be held in the event of the resignation of an officer, or any other circumstance for which a vacancy on the Board may exist. The date of such an election will be determined by the board and must take place no later than the second regular meeting after the position is vacated.

Article 4 - Impeachment proceedings.Impeachment proceedings for the removal of an officer from the Board may be set in motion at an official meeting by any Voting Member who feels an officer's exercising of his duties and responsibilities of his position have been neglected or used improperly and not in the best interest of the club. A 2/3 vote of all Voting Members via secret ballot is required to constitute a vote of no confidence for an officer to be impeached.

Article 5 - Expulsion of Voting Members.
Expulsion proceedings against a Voting Member for the removal of such Voting Member from the Golden Triad may be set in motion by any Voting Member who feels that the accused Voting Members' duties and responsibilities to the organization have been neglected or used improperly and not in the best interests of the club. A 2/3 vote via secret ballot is necessary for Voting Member expulsion. Meeting expulsion may be set in motion by the Sgt.-at-Arms against a disorderly Voting Member after sufficient warning without a Membership vote. Only the President may remove a disorderly officer from a meeting.

Section III - Responsibilities of Officers
President:
Preside over club meetings.

Call for the formation of committees to run the various functions and activities of the club.

Conduct club meetings in an orderly fashion and recognize Voting Members if and when they wish to be heard.

As chief officer of the club, be responsible for all functions of the club.


Vice President:
Operate with the same authority as the President and whose authority is exceeded only by the President, and will preside in the President?s absence.

Serve as Executive Chairman of all committees with full authority over each.

Appoint a chairman to each committee and appoint committee members if he so desires.


Treasurer:
Maintain an accurate record of all the club?s finances.

Be the chief disbursement officer of all club money.

Reconcile all accounts with the financial institution of his choosing and report to the Board any discrepancies therein.

Report to the Membership at each meeting the status of the club treasury as of the previous meeting. This should include dues and any other money collected, disbursement of money, and any other facts pertinent to the financial condition of the club.



Secretary:
Maintain an accurate transcription of the proceedings of the meeting.

Read the minutes of the preceding meeting at the start of each meeting.

Inform the club as to the time and location of meetings and any other information he feels the Membership should be made aware of.

Make any postal arrangements and correspondences necessary.



Sergeant-at-Arms:
Open all meetings.

Insure order is maintained during meetings.

Maintain attendance records.

Tally all Membership votes and "secret ballots" during meetings and present them to President and Secretary for action and recording and announce them to the Membership



Any action by the Board shall be by majority vote of the members of the Board; provided that in the event of a tie, the President?s vote shall count as two (2) votes.

SECTION IV - MISCELLANEOUS
Article 1 - Confidential Material.
All club materials, i.e. passwords, i.p. addresses, newsletters, mailings lists, e-mail lists, telephone lists and questionnaires are confidential and for club use only.

Article 2 ? Amendments to the By-Laws.
The By-Laws may be modified only upon a successful motion and resolution of the Voting Members.

Opening of the meeting by the Sergeant-at-Arms.

Opening remarks by the President.

Collection of dues.

Reading of the Secretary's previous meetings minutes.

Discussion and acceptance of minutes.

Reading of the Treasurer?s report.

Discussion and acceptance of the Treasurer?s report.

Opening of old business discussions.

Reports by Committee Chairmen.

Opening of new business discussions.

Appointment of Committees and Chairmen for selected functions.

Introduction and induction of prospective Voting Members.

Closing remarks by President.

Close of the meeting by the President.

2. The former GT member is offered the privilege of voting membership (one time offer)
3. If accepted, the candidate's status will be voted upon by the voting members the following meeting.
4. If accepted the candidate becomes a voting member. If not, the candidate is relegated to associate member status and the "grandfather" clause is voided. Said candidate will have to, if they so desire, become a voting member through the usual process in the by laws.
5. The grandfathered voting member is not required to pay back dues since the inception of the club. However, at such time they make a change in status to an associate member status, they are subject to the current by laws.

By design the vote protects the club and the returning member. If the returning member was in good standing at the time of their departure then it is likely that the club would accept them back into its ranks. However, if that member did not hold a favorable reputation with the membership then the relegated associate member status, if it does not drive that person away completely, will act as a probationary period so that their behavior may be monitored.

This will be reflected in the by laws like this:
